Probably the first thing you’ll want to ask yourself is where you’ll be conducting most of your business activity. Most small businesses choose out of simplicity the state where they conduct business. This may well be logical, however it may leave out certain advantages you may have incorporated for in the first place!. You could many times be leaving privacy, tax benefits and other benefits on the table.

It doesn’t have to work like that. You can make an informed decision by looking at all 50 states before you create your corporate entity. If you choose to incorporate outside of your home state, you may have to register as a foreign corporation.

Nevada boasts very potent privacy laws which make it a choice state for business incorporation. Couple this with its tax-free status, and you can see why Nevada is often chosen when it comes to saving both time and privacy.

Nevada allows you to select anyone you like as a nominee officer of the corporation, thus providing additional layer of privacy for the owner. As it happens both Corporations and LLC’s are allowed to have nominees on the articles of incorporation or formation.

A Nevada corporation is alowed to do business in any state whether you reside there or not.

Delaware, the other long-held choice for friendly business environment for incorporation has its own set of advantages, the principal among these being the long history and large canon of corporate law to draw upon. Delaware also has the “Court of Chancery”, a panel of judges who hear only corporate law cases, thus relieving you frm hte crap shoot that is often a jury trial. Most of the publicly traded companies have theircorporate home in Delaware and you’ll realize significant privacy and beneficial tax treatment here as well.

There are many things to think about when choosing the best state to incorporate your business, consider carefully whether or not Nevada or Delaware fit the bill for your enterprise!
